CPCI acts as a service provider for artists looking to sell their artwork, and individuals interested in purchasing artwork, through an online art marketplace. This site is operated by CPCI, which has head office in Sydney and offers Australian & Chinese art to a global audience of art lovers and collectors.
Before you use the CPCI website you must read, agree with and accept all of these Terms and Conditions of Use, and CPCI’s policies, including its Privacy and Security Policy, Shipping Policy, Art Consignment and Sale Agreement and Refunds and Returns Policy. These policies change from time to time, and they form part of these Terms and Conditions of Use.
CPCI reserves the right, at its absolute discretion, to change or modify all or any part of these Terms and Conditions of Use at any time, effective immediately upon publishing on the website (www.CPCI.com.au). If at any time these Terms and Conditions of use are no longer acceptable to you, you should immediately cease use of CPCI.com.au.
If you do not agree to accept and abide by these Terms and Conditions of Use, you should not access or use CPCI.com.au.
1. THE SERVICE
1.1 The Service will be offered free-of-charge for an unspecified time period unless terminated in accordance with the terms of this Agreement.
a) Artist Profile – allows each Member to display and edit basic information about artist, such as year, background, education and achievement of artist.
b) Artworks – allows each Member to display and edit descriptions, specifications and images of at least 5 artworks.
c) Unlimited Buyer Trade Lead Posting – allows each Member to post on the Site for public display offers to buy products and services from other users of the Site.
1.2 The Service will have the following core features (which may be added to or modified, or suspended for scheduled or unscheduled maintenance purposes, from time to time at the sole discretion of and CPCI to you) (“Free Member Benefits”):
1.3 CPCI suspend or terminate all or part of the above Free Member Benefits at any time in its sole discretion. CPCI reserves the right to charge for the Service or any feature or functionality of the Service at any time in its sole discretion.
1.4 Benefits, features and functions available to a Member may vary for different countries and regions. No warranty or representation is given that a particular feature or function or the same type and extent of features and functions will be available.
1.5 The availability of any transactional features and functions on the Site to any Member may be conditional on verification of Member’s identity and/or its designated bank account by CPCI.com.au and/or its approved independent third parties.
1.6 CPCI.com.au shall issue a Member ID and Password (the latter shall be chosen by the Member during registration) to each Member to access the Service through such Member’s Account. Each Member shall be solely responsible for maintaining the confidentiality of its Member ID and Password and for all activities that occur under the Member ID and Password. A set of Member ID and Password is unique to a single Account and no Member shall share, assign or permit the use of its Account, Member ID or Password to another person outside of the Member’s business entity. Each Member acknowledges that sharing of its Account with other persons, or allowing multiple users outside of its business entity to use its Account (collectively, “multiple use”), may cause irreparable harm to CPCI.com.au and each Member shall indemnify CPCI.com.au against any loss or damages (including but not limited to loss of profits) suffered by CPCI.com.au as a result of such multiple use of an Account. Each Member hereby undertakes to notify Alibaba.com immediately of any unauthorized use of its Account, Member ID or Password or any other breach of security. Each Member hereby agrees that CPCI.com.au shall not be liable for any loss or damages arising from the Member’s failure to comply with this paragraph.
1.7 CPCI.com.au reserves the right to change, upgrade, modify, limit or suspend the Service or any of its related functionalities or applications at any time temporarily or permanently without prior notice. CPCI.com.au further reserves the right to introduce new features, functionalities, applications or conditions to the Service or to future versions of the Service. All new features, functionalities, applications, conditions, modifications, upgrades and alterations shall be governed by this Agreement, unless otherwise stated by CPCI.com.au.
1.8 Each Member acknowledges that inability to use the Service wholly or partially for whatever reason may have adverse effects on its business. Each Member hereby agrees that in no event shall CPCI.com.au be liable to the Member or any third parties for any inability to use the Service (whether due to disruption, changes to or termination of the Service or otherwise), any delays, inaccuracies, errors or omissions with respect to any communications or transmission or delivery of all or any part thereof, or any damage (direct, indirect, consequential or otherwise) arising from the use of or inability to use the Service.
2. TERMS & CONDITIONS OF USE
2.1 CPCI services and ships within the Australian community and globally, including (but not limited to) the USA, UK, Europe and Asia. The user represents and warrants that they are of sufficient legal age to use CPCI.com.au and to create binding legal obligations for any liability they may incur as a result of the use of CPCI.com.au. The user agrees to be responsible for all of their use of the CPCI.com.au (as well as for use of their username and password(s) by others, including without limitation, minors living with them). The user agrees to supervise all usage by minors of the website under their name or account.
2.2 CPCI.com.au must not be used for any illegal or unauthorised purpose. CPCI.com.au must not be hacked and/or any adaptations made to any aspect of the website. Posting of advertisements or links to any other websites, including but not limited to social networking sites, is not allowed without express written permission from CPCI.

2.4 CPCI aims to promote hand-made and original artworks. Artworks may include drawings, watercolours, paintings, mixed media, ink works, etc. If artworks are framed, they must be packaged extremely carefully and labelled as fragile. Artworks must be photographed as framed, if they are framed, or unframed, if they are not. Artworks must be unique or sold as one in a series of limited edition artworks and clearly titled.
2.5 Users posting content on CPCI.com.au must not infringe any copyright and/or intellectual property rights of any person, entity, organisation, trademark or other. Users must not misrepresent content, including artwork for sale, in the picturing and description of that content. CPCI does not accept content that is obscene in any way, pornographic, indecent, inflammatory, defamatory or racist to any person or group of people. Artistic nudes are accepted at the discretion of CPCI. The content posted on the CPCI website must not be fraudulent or illegal in any manner nor contain viruses, Trojan horses, worms, or any other programming that may interfere, disrupt or corrupt the smooth operations of CPCI.com.au, including all databases. CPCI has the right, but has no obligation to, remove any content posted at its absolute discretion. CPCI does not condone the posting of inappropriate content and makes a concerted effort to remove such content as soon as possible. Any unlawful, misrepresented or offensive content posted on the website is the sole responsibility of the user/member that posts such content.
2.6 The CPCI logo is a trademark of CPCI Pty Ltd. Use of the CPCI logo is not authorised without express written permission from CPCI. All content on the CPCI.com.au are copyright of either CPCI or the Artist. Content must not be downloaded or used without express written permission from CPCI, or the Artist where the content is their own work. The Artist retains all copyright for physical artworks (which includes reproduction rights) even when the physical property is transferred to the Purchaser. If the Purchaser wishes to reproduce the Work, this must be separately negotiated with the Artist.
2.7 CPCI reserves the right to refuse service to anyone at any time and at its absolute discretion. CPCI reserves the right to modify, terminate or suspend member accounts, at any time, at its discretion, and without prior notice. CPCI reserves the right to terminate the CPCI service at any time and at its absolute discretion without prior notice. Upon termination, any rights granted by the Artist to CPCI under this agreement immediately revert to the Artist.
3.1 CPCI does not represent or guarantee that the CPCI service or CPCI.com.au, or any other website that is accessible using a hyperlink from this website will be current, or free from errors or viruses. CPCI does not represent or guarantee that access to the CPCI service or these websites will be uninterrupted.
3.2 The user acknowledges that the CPCI service or CPCI.com.au may be affected by outages, faults or delays. Such outages, faults or delays may be caused by factors, including but not limited to technical difficulties with the performance or operation of CPCI’s or another person’s software, equipment or systems, traffic or technical difficulties with the Internet or infrastructure failures.
3.3 CPCI does not warrant that any members’ uploads to this website will be protected against loss, or misuse or alteration by third parties. CPCI does not warrant that all uploaded content will be available on our website. If CPCI elects in its sole discretion to make available content on its website, it does not warrant that it will be available within a certain time frame. CPCI reserves the right to cancel and refund any sale made through CPCI.com.au. CPCI does not accept responsibility for any loss or damage, however caused (including through negligence), that users may directly or indirectly suffer in connection with their use of this website or any linked website, nor does it accept any responsibility for any such loss arising out of a user’s use of or reliance on information contained on or accessed through this website.
